Terms and Conditions for TeriTrak

The rules and responsibilities that govern access to and use of TeriTrak.

Effective date

These Terms and Conditions ("Terms") govern your access to and use of Teritrak, including our website, applications, progressive web application (PWA), mobile applications, features, content, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Services.

Throughout these Terms:

  • "Teritrak," "we," "our," or "us" refers to Teritrak.
  • "User," "you," or "your" refers to any person or entity using the Services.
  • "Content" means data, receipts, notes, files, images, audio, exports, tasks, activities, contacts, and other materials uploaded or created within the Services.
  • "AI Features" means OCR, transcription, summarization, categorization, workflow extraction, automation, and other machine-learning-powered functionality.

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.

By using the Services, you represent and warrant that:

  • You are legally authorized to use the Services
  • The information you provide is accurate
  • Your use of the Services complies with applicable laws and regulations

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • Restricting access to your account
  • All activities occurring under your account

You agree to notify Teritrak immediately of any unauthorized use or security breach involving your account.

We reserve the right to suspend or terminate accounts that violate these Terms or pose security, operational, or legal risks.

Teritrak is a productivity, organization, and sales execution platform that may include features such as:

  • Receipt tracking and organization
  • OCR receipt extraction
  • Voice-to-text note capture
  • AI-generated summaries and categorization
  • Task and activity management
  • Deal, contact, and account tracking
  • Reporting and export tools
  • Mobile and web-based productivity workflows
  • Automation and organizational tools

Features, functionality, pricing, and availability may change at any time without notice.

Teritrak includes AI-powered and automated processing features.

These features may include:

  • Receipt OCR extraction
  • Voice transcription
  • AI-generated summaries
  • Suggested categorizations
  • Structured data extraction
  • Workflow automation suggestions

You acknowledge and agree that:

  • AI-generated outputs may contain inaccuracies or errors
  • Automated extraction may misinterpret uploaded information
  • AI-generated content may be incomplete or incorrect
  • You are solely responsible for reviewing and verifying all outputs before relying on them

Teritrak does not guarantee the accuracy, completeness, reliability, or fitness of AI-generated content for any purpose.

Teritrak is an organizational and productivity platform only.

Nothing within the Services constitutes:

  • Tax advice
  • Accounting advice
  • Financial advice
  • Legal advice
  • Compliance advice
  • Professional consulting services

Receipt categorizations, summaries, classifications, labels, recommendations, and exports are provided solely for organizational convenience.

Users are solely responsible for:

  • Determining deductibility
  • Verifying accounting accuracy
  • Maintaining compliance with laws and regulations
  • Reviewing all exported or AI-generated data

You should consult qualified professionals regarding accounting, tax, legal, or financial matters.

Teritrak may generate:

  • PDFs
  • CSV exports
  • Reports
  • Summaries
  • Dashboards
  • Analytics
  • AI-generated outputs

These outputs are generated from user-provided information and automated systems.

Teritrak does not guarantee that generated outputs are accurate, complete, error-free, or suitable for official use.

You are solely responsible for reviewing and validating all generated content before relying on it for:

  • Tax filings
  • Accounting
  • Financial reporting
  • Expense reimbursement
  • Legal compliance
  • Business decisions

Certain features may be designated as:

  • Beta
  • Preview
  • Experimental
  • Early access

These features may:

  • Contain bugs or errors
  • Change substantially over time
  • Experience interruptions or downtime
  • Produce incomplete or inaccurate results
  • Be modified or removed without notice

Your use of beta or early access functionality is entirely at your own risk.

9. User Content

You retain ownership of content you upload to the Services.

By uploading or submitting content, you grant Teritrak a limited, non-exclusive, worldwide license to:

  • Store
  • Process
  • Analyze
  • Display
  • Transmit
  • Reproduce

such content solely for the purpose of operating, improving, maintaining, and providing the Services.

You represent and warrant that:

  • You own or have sufficient rights to upload the content
  • Your content does not violate applicable laws or third-party rights
  • Your uploaded content does not infringe intellectual property, confidentiality, privacy, or contractual obligations

Users may upload business-related, financial, operational, customer, sales, or other potentially sensitive information while using the Services.

You acknowledge and agree that:

  • You are solely responsible for the content and information you upload, store, transmit, or process through the Services
  • You will not upload information unless you have the legal right and authorization to do so
  • You are responsible for complying with your employer's policies, contractual obligations, confidentiality obligations, and applicable laws regarding data usage and sharing

Unless explicitly stated otherwise by Teritrak in writing, the Services are not intended for:

  • Storage of highly sensitive regulated information
  • Protected health information (PHI)
  • HIPAA-regulated data
  • Classified information
  • Government-restricted information
  • Export-controlled information
  • Payment card data requiring PCI compliance
  • Social Security numbers
  • Highly confidential trade secrets requiring specialized compliance controls

You acknowledge that Teritrak is a general business productivity platform and not a certified records retention, compliance, or secure document vault solution.

Teritrak shall not be responsible or liable for:

  • Unauthorized uploads by users
  • Violations of employer policies or agreements
  • Disclosure risks inherent in transmitting information online
  • User decisions regarding what information to upload or store within the Services
  • Loss or exposure of confidential information resulting from user misuse, compromised credentials, third-party breaches, or factors outside Teritrak's reasonable control

Teritrak may be used by individuals, teams, organizations, or employers for productivity and organizational purposes.

Teritrak does not guarantee the accuracy, completeness, or appropriateness of productivity metrics, activity tracking, analytics, or AI-generated insights for employment, performance evaluation, disciplinary, compensation, or management purposes.

Users and organizations are solely responsible for determining how they use information generated by the Services in workplace environments and for complying with applicable employment, labor, privacy, and monitoring laws.

By creating an account or using the Services, you consent to receive electronic communications from Teritrak, including:

  • Account notifications
  • Security alerts
  • Transactional emails
  • Product updates
  • Service announcements
  • Billing-related communications

You may opt out of non-essential marketing communications where applicable, but certain service-related communications are necessary for operation of the Services.

Teritrak may impose usage limits, storage limits, automation limits, AI processing limits, export limits, rate limits, or other operational restrictions to maintain platform stability and service quality.

We reserve the right to monitor usage patterns and restrict, suspend, or throttle usage that we determine, in our sole discretion, to be excessive, abusive, harmful, automated beyond intended use, or negatively impacting platform performance or other users.

While Teritrak may maintain backups and recovery procedures, we do not guarantee permanent retention, availability, or recoverability of any uploaded or generated data.

Users are responsible for maintaining their own copies and backups of important records, receipts, exports, reports, and business information.

You agree not to:

  • Use the Services unlawfully
  • Upload malicious code or harmful content
  • Attempt unauthorized access to systems or accounts
  • Reverse engineer or copy the Services
  • Use the Services to violate privacy or intellectual property rights
  • Interfere with platform stability or security
  • Abuse API endpoints or automation systems
  • Use the Services for fraudulent activity
  • Circumvent subscription or usage limitations

We reserve the right to suspend or terminate accounts engaging in prohibited conduct.

Certain features may require a paid subscription.

Subscriptions may be billed through:

  • Stripe
  • RevenueCat
  • Apple App Store
  • Google Play

Subscription pricing, features, and limits may change at any time.

Unless otherwise stated:

  • Subscriptions automatically renew
  • Fees are non-refundable except where required by law
  • You are responsible for applicable taxes and fees

You may cancel subscriptions through the applicable billing platform.

We do not guarantee uninterrupted availability of the Services.

The Services may become temporarily unavailable due to:

  • Maintenance
  • Software updates
  • Infrastructure failures
  • Security incidents
  • Third-party outages
  • Technical issues beyond our control

We are not liable for interruptions, delays, downtime, data loss, or service degradation.

We implement commercially reasonable administrative, technical, and organizational safeguards designed to protect user data.

However:

  • No platform or transmission method is completely secure
  • No storage system is immune from breaches or failures
  • Users assume risks associated with storing and transmitting information electronically

You are responsible for maintaining secure passwords and protecting access to your account.

Teritrak may rely on or integrate with third-party providers, including but not limited to:

  • OpenAI
  • Deepgram
  • Stripe
  • RevenueCat
  • Postmark
  • Apple App Store
  • Google Play

We are not responsible for:

  • Third-party outages
  • Third-party security incidents
  • Third-party data practices
  • Third-party service interruptions
  • Third-party policy changes

Use of third-party services may also be subject to their own terms and privacy policies.

The Services, including software, branding, interfaces, workflows, graphics, features, and content created by Teritrak, are protected by intellectual property laws.

You may not:

  • Copy
  • Modify
  • Redistribute
  • Resell
  • Reverse engineer
  • Exploit

the Services or any portion thereof without prior written permission from Teritrak.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERITRAK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • AVAILABILITY
  • SECURITY

We do not guarantee that:

  • The Services will be uninterrupted or error-free
  • AI-generated outputs will be accurate
  • Data will never be lost
  • Bugs will be corrected immediately
  • The Services will meet every user requirement

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERITRAK SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • CONSEQUENTIAL DAMAGES
  • LOST PROFITS
  • LOST DATA
  • BUSINESS INTERRUPTION
  • REPUTATIONAL HARM
  • FINANCIAL LOSSES

ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

THIS LIMITATION APPLIES EVEN IF TERITRAK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TERITRAK DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Teritrak and its affiliates, officers, employees, contractors, and service providers from any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of the Services
  • Your uploaded content
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights
  • Claims related to confidential or unauthorized data uploaded by you

We may suspend or terminate access to the Services at any time, with or without notice, if:

  • You violate these Terms
  • Your use poses legal, operational, or security risks
  • Required by law
  • Necessary to protect the Services, systems, or users

You may stop using the Services at any time.

Termination does not eliminate obligations or liabilities incurred prior to termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles.

We may update these Terms periodically.

Updated Terms become effective upon posting.

Continued use of the Services after updates constitutes acceptance of the revised Terms.
